SolidWorks Competitive Upgrade Program
Terms & Conditions
The SolidWorks Competitive Upgrade Program (“Upgrade Program”) is offered to qualifying Autodesk customers located in the United States and Canada only. This offer may not be combined with any other promotional offer or upgrade program, and is void where and to the extent prohibited or limited by law.
Dassault Systèmes SolidWorks Corporation (“SolidWorks”) may at its sole discretion, disqualify or refuse requests to participate in this Upgrade Program when the requests do not comply with these Terms and Conditions, or if SolidWorks believes that fraudulent or inaccurate claims have been submitted. Attempts to obtain a credit in violation of these Terms and Conditions may constitute fraud, and may be a violation of postal, federal, and state or local laws. SolidWorks may exclude any participant found to violate these Terms and Conditions from participation in this or any other SolidWorks promotion.
Program Period
The Upgrade Program is valid from July 6, 2009 through September 30, 2009
Program Overview & Participation
The Upgrade Program is for commercial users of eligible Autodesk® products located in the U.S. and Canada and who are not SolidWorks customers.
Under this Upgrade Program, a credit towards the SolidWorks’ suggested list price of eligible SolidWorks® software products (subscription service not included) may be offered by a SolidWorks reseller.
The customer’s actual price will be set by its SolidWorks reseller, and will depend on which qualifying SolidWorks product(s) the customer chooses, the software considered to be the Initial Purchase (see below), and the license volume being purchased. Since the details of the Upgrade Program and associated credits can vary based on a customer’s specific situation and requirements, qualifying customers are encouraged to consult a SolidWorks reseller for more details and to review their specific situation.
Eligibility
To be eligible to participate in the Upgrade Program, the participant must be a for-profit commercial enterprise, and must:
- Substantiate a purchase, on behalf of the business, an eligible Autodesk software license from an authorized Autodesk distributor in the U.S. or Canada (“Initial Purchase”) and have owned the product for at least ninety (90) days; where
- Eligible Autodesk licenses are licenses for the following products: AutoCAD®, Autocad LT®, AutoCAD Mechanical Desktop®, Autodesk Inventor®, and Autodesk Inventor® Professional; and are not licenses that are leased, rented, pirated, or otherwise not fully paid
- SolidWorks reserves the exclusive right in its sole discretion to determine whether and/or which Autodesk software licenses are eligible
- Not be a SolidWorks customer
- Be located in the United States or Canada, and the qualifying Autodesk and SolidWorks licenses must also be installed and used solely in the United States or Canada
- Purchase SolidWorks Subscription Service at the suggested retail price at the same time as the purchase of the SolidWorks license to which the credit is applied
- Purchase the SolidWorks license by September 30, 2009 in order to qualify for the SolidWorks credit
- Be the sole owner of the license
Eligible SolidWorks® Software Products
The Upgrade Program applies to SolidWorks Standard, Professional and Premium 3D CAD software only.
General Terms
A. This Program may not be combined with any other promotion, discount, credit, or trade-up program offered by SolidWorks or its authorized resellers.
B. Without limiting any other right retained herein, SolidWorks reserves the right to modify, suspend or terminate the Upgrade Program at any time in its sole discretion and without prior notice.
C. Participants are solely responsible for compliance with their company policies regarding participation in credit programs and agree to assume all such risks relating thereto.
D. Participant warrants that it or its company holds legal title to the Autodesk software used as the basis for the Upgrade Program offer.
E. Participants must have registered for the process audit by August 31, 2009
F. Credits under this Upgrade Program are not transferable and have no cash value.
G. If any provision of these Terms and Conditions, or the application of any provision to any participant or circumstance, is held invalid, the remainder of these Terms and Conditions, and the application of the provision other than to the extent it is held invalid, will not be invalidated or affected.
H. Credits will be issued to the end-user organization / business and not the individual participant.
I. All decisions by SolidWorks and its designated representatives are final.
J. The laws of the Commonwealth of Massachusetts except for its conflicts of law principles apply to this Upgrade Program.
